9. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws, without regard to conflicts of law principles that would require the application of the law of any other jurisdiction.
To the extent that any legal proceedings are required, both parties consent to the personal jurisdiction of the federal and state courts located within the United States. The Federal Trade Commission Act (FTC Act, 15 U.S.C. § 45 et seq.) governs unfair or deceptive trade practices at the federal level, and Wings Over operates in compliance with all applicable federal consumer protection statutes.
Where applicable, Wings Over also acknowledges the requirements of the California Consumer Privacy Act (CCPA) and its amendment, the California Privacy Rights Act (CPRA), as well as other applicable state consumer protection statutes, to the extent such laws apply to our operations. California residents may have additional rights under the CCPA/CPRA, which are detailed in our Privacy Policy available on our website.
Wings Over further acknowledges and complies with applicable United States food safety regulations, including those promulgated by the U.S. Food and Drug Administration (FDA) and the Food Safety Modernization Act (FSMA), as well as applicable state and local health codes where our operations are based.
10. Dispute Resolution
10.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact Wings Over and attempt to resolve the dispute informally. Please send a written description of your dispute to [email protected] with sufficient detail to allow us to understand the nature of your claim. Wings Over will use good-faith efforts to resolve the dispute within thirty (30) calendar days of receiving your written notice. If we are unable to resolve the dispute informally within that period, either party may proceed to the formal dispute resolution mechanisms set forth below.
10.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS BY REQUIRING ARBITRATION OF DISPUTES AND LIMITING THE MANNER IN WHICH YOU CAN SEEK RELIEF.
Except for disputes that qualify for small claims court, and except as otherwise set forth herein, any and all disputes, controversies, or claims arising out of or relating to these Terms or the Services, whether based on contract, tort, statute, fraud, misrepresentation, or any other legal theory, shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, as amended from time to time. The arbitration shall be conducted in English.
The arbitrator shall have the authority to award any relief that would be available in a court of law, subject to the limitations set forth in these Terms. The arbitrator's decision shall be final and binding on both parties. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
10.3 Class Action Waiver
YOU AND WINGS OVER AGREE THAT EACH PARTY MAY ONLY BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING.
10.4 Small Claims Court
Notwithstanding the foregoing, either party may elect to have claims heard in small claims court if the matter falls within the jurisdictional limits of such court, provided the dispute remains on an individual (non-class) basis.
10.5 Equitable Relief
Nothing in this section shall prevent Wings Over from seeking injunctive or other equitable relief from a court of competent jurisdiction to protect its intellectual property rights or confidential information, or to prevent irreparable harm.
11. Term and Termination
11.1 Term
These Terms shall remain in full force and effect for as long as you access or use the Services or maintain an account with Wings Over, whichever is longer.
11.2 Termination by You
You may terminate your account and your agreement to these Terms at any time by contacting us at [email protected] and requesting account deletion. Termination of your account will not affect any rights or obligations that arose prior to termination, including payment obligations for orders already placed.
11.3 Termination by Wings Over
Wings Over reserves the right, in its sole discretion, to suspend or permanently terminate your access to the Services and/or your account at any time, with or without notice, for any reason, including but not limited to:
- Violation of any provision of these Terms;
- Fraudulent, abusive, or illegal conduct;
- Non-payment of amounts owed;
- Requests by law enforcement or government authorities;
- Unexpected technical issues or problems;
- Discontinuation of the Services by Wings Over.
11.4 Effect of Termination
Upon termination of your account or these Terms for any reason:
- Your right to access and use the Services shall immediately cease;
- All licenses granted to you under these Terms shall terminate;
- We may delete your account data in accordance with our Privacy Policy;
- Any outstanding payment obligations shall remain due and payable;
- All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution provisions.
12. Changes to Terms
Wings Over reserves the right, in its sole discretion, to amend, modify, update, or replace these Terms of Service at any time. When we make material changes to these Terms, we will provide notice by one or more of the following methods:

We encourage you to visit our website regularly to review the current version of these Terms. The most current version of these Terms will always be available at wingsoverclub.click.
13. Severability
If any provision of these Terms of Service is held by a court of competent jurisdiction or an arbitrator to be invalid, illegal, void, unenforceable, or contrary to applicable law, such provision shall be deemed severed from these Terms to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full force and effect without being impaired or invalidated in any way.
To the extent permitted by law, the parties agree that any invalid, illegal, or unenforceable provision shall be replaced with a valid, legal, and enforceable provision that most closely approximates the intent and economic effect of the original provision. The failure of Wings Over to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision, nor shall it affect the right to enforce such right or provision at any time thereafter.
Any waiver by Wings Over of a breach of any provision of these Terms shall not operate as or be construed as a waiver of any subsequent or other breach of the same or any other provision hereof.
14. Additional Legal Provisions
14.1 Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by Wings Over on the website, constitute the entire agreement between you and Wings Over with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
14.2 No Third-Party Beneficiaries
These Terms are for the sole and exclusive benefit of the parties hereto and are not intended to benefit any third party. No third party shall have the right to enforce any provision of these Terms.
14.3 Assignment
You may not assign or transfer these Terms, or any of your rights or obligations hereunder, without Wings Over's prior written consent. Wings Over may freely assign or transfer these Terms and its rights and obligations hereunder without restriction. Any purported assignment in violation of this section shall be null and void.
14.4 Force Majeure
Wings Over shall not be liable for any failure or delay in performance of its obligations under these Terms arising out of or caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government restrictions, civil unrest, wars, terrorist attacks, supply chain disruptions, power outages, internet service interruptions, or other similar events ("Force Majeure Events"). Wings Over shall use commercially reasonable efforts to resume performance as soon as practicable after the cessation of such Force Majeure Event.
14.5 Notices
All notices, requests, demands, or other communications required or permitted under these Terms shall be in writing and shall be deemed duly given when sent by email to the addresses specified herein. Notices to Wings Over shall be sent to [email protected]. We may provide notice to you via email to the address associated with your account or through a general notice posted on our website.
14.6 Electronic Communications
By using our Services, you consent to receive electronic communications from Wings Over, including emails, text messages, and notifications. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001 et seq.).
